1. INTRODUCTION
These Terms of Service ("Terms") govern commercial cleaning services provided by RAXO Group Inc. ("RAXO," "we," "us," or "our") to clients ("Client" or "you"). By requesting services or signing a service agreement, you agree to these Terms.
2. SERVICES & SCOPE
We provide after-hours commercial cleaning in Winnipeg, Manitoba for offices, non-acute medical and dental clinics, and managed properties. Service scope, frequency, and inclusions are outlined in your written proposal and service agreement.
- Services are performed according to documented checklists and site-specific protocols.
- Specialty services outside the agreed scope require a written change order.
- We do not provide biohazard remediation or acute-care medical cleaning.
3. QUOTES & PROPOSALS
Quotes are based on walkthrough observations, square footage, access conditions, and service requirements. Written proposals specify scope, schedule, pricing, and term length.
- Quotes remain valid for the period stated in the proposal.
- Changes to scope or frequency may change pricing.
4. SCHEDULING & ACCESS
Cleaning is typically performed after business hours (commonly 6 PM – 8 AM) unless otherwise agreed. Client is responsible for providing safe, reliable access.
- Access credentials (keys, codes, badges) must be provided in advance.
- Changes to building access procedures must be communicated promptly.
- If access is unavailable, the visit may be skipped and billed as scheduled.
5. CLIENT RESPONSIBILITIES
To maintain service quality, Client agrees to:
- Provide clear access instructions and contact details.
- Maintain safe conditions in work areas (clear pathways, remove hazards).
- Notify RAXO of sensitive areas, security requirements, and special handling needs.
- Report service issues within a reasonable timeframe so we can respond.
6. PAYMENTS & BILLING
Billing terms are defined in your service agreement.
- Invoices are issued on the schedule specified in your agreement (typically monthly).
- Past-due balances may incur late fees where permitted by law and the agreement.
- Recurring services may be paused for non-payment after notice is provided.
7. CHANGES & CANCELLATION
Either party may request changes or terminate services according to the notice period in the agreement.
- Scope changes require written approval.
- Notice and cancellation terms are defined in your signed agreement.
- Short-notice cancellations may be billed as scheduled.
8. LIABILITY & INSURANCE
RAXO maintains commercial general liability insurance and WCB coverage. Certificates of Insurance are available on request.
- Liability is limited to the scope of the service agreement and applicable law.
- Client must report damage or concerns promptly to allow investigation.
9. CONFIDENTIALITY & PRIVACY
We treat facility access information and site details as confidential. Personal information is handled according to our Privacy Policy.
10. GOVERNING LAW
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein.
